01 The Agreement
These Terms of Service ("Terms") are a binding agreement between you ("you", "your", "Customer") and 1001500932 Ontario Inc., an Ontario corporation carrying on business as Aegis Algo ("Aegis", "we", "us", "our"), governing your purchase and use of any software, strategy file, configuration, documentation or related material we supply (collectively, the "Software").
By purchasing, downloading, installing or using the Software, or by checking the acceptance box at checkout, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not purchase or use the Software.
02 What You Are Buying
You are purchasing a licence to use a piece of trading software. You are not purchasing:
- Ownership of the Software or its underlying source, logic or intellectual property;
- Investment advice, portfolio management, or a managed trading account;
- Any guarantee, promise or projection of profit, income, or any specific trading outcome;
- Ongoing support, custom development, or bespoke modification, unless separately agreed in writing.
The Software is a tool. You operate it, you configure it, you choose your position sizing, and you accept the results of your own trading decisions.
If you purchase the Monthly Plan subscription, you are buying time-limited access to a signal service — not the underlying strategies, and not any of the items listed above. Section 07 governs the Monthly Plan.
03 Licence Grant
Subject to your compliance with these Terms and to payment in full, Aegis grants you a personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software for your own trading activity, for the lifetime of the licensed version.
"Lifetime" means the Software remains yours to use without a recurring fee. It does not obligate Aegis to provide updates, new versions, ongoing compatibility with future third-party platform releases, or support of any kind in perpetuity.
04 Licence Restrictions
You may not, directly or indirectly:
- Resell, sublicense, rent, lease, lend, distribute, publish, or otherwise transfer the Software to any third party;
- Share the Software, your licence key, or your download link with anyone else, including within a trading group, Discord, forum, or signal service;
- Reverse engineer, decompile, disassemble, decrypt, or attempt to derive the source code or trading logic of the Software, except to the minimum extent that applicable law expressly prohibits this restriction;
- Create derivative works based on the Software, or incorporate it into another product or service;
- Remove, obscure, or alter any copyright, trademark, or proprietary notice;
- Use the Software to operate a managed account, prop-firm-funded programme, or any service on behalf of third parties, without our prior written consent.
Breach of this section is a material breach and terminates your licence immediately, without refund.
05 Delivery & Access
The Software is a digital product. Following successful payment, delivery is made electronically to the email address supplied at checkout, ordinarily within one business day.
You are responsible for supplying a valid email address and for ensuring our messages are not blocked or filtered. If you have not received delivery within two business days, contact us and we will resend. Non-receipt caused by an incorrect or filtering email address is not a basis for a claim of non-delivery.
You are responsible for retaining your own copy of the delivered files.
06 Refund Policy
We do not offer refunds. Every purchase is final and non-refundable — no exceptions, no partial refunds, no pro-rated returns, and no refunds for change of mind, dissatisfaction with results, incompatibility with your setup, or failure to use the Software.
This policy exists because the Software is a digital product consisting of proprietary trading logic. Once delivered, it cannot be returned, un-seen, or un-copied, and its value cannot be restored to us.
By completing your purchase you expressly acknowledge and agree that:
- You are purchasing a digital product delivered immediately, and you consent to immediate delivery;
- To the fullest extent permitted by applicable law, you waive any right of withdrawal, cancellation, or cooling-off period that would otherwise apply to digital content;
- You have read the risk disclaimer at section 10 and understand that trading losses are not grounds for a refund;
- You will raise any dispute with us directly before initiating a payment dispute or chargeback with your card issuer, and you agree not to initiate a chargeback on the basis of buyer's remorse, dissatisfaction with trading results, or any matter addressed by these Terms.
Subscriptions (Monthly Plan): cancelling a subscription stops future renewals — your access continues to the end of the billing period already paid for, and amounts already charged are non-refundable, including for partial months or unused time. See section 07.
Nothing in this section limits any right you may have under mandatory consumer protection law in your jurisdiction that cannot lawfully be excluded.
07 Monthly Plan Subscriptions
The "Monthly Plan" is a subscription service. Our automated trading strategies run on infrastructure we control and generate trade signals ("Signals"). Signals are transmitted to a lightweight receiver component (the "Signal Handler") that you install in your own NinjaTrader 8 platform, which may place corresponding orders in your linked trading account automatically.
Billing & renewal
The subscription fee is charged in advance at the start of each monthly billing period, and the subscription renews automatically each month until cancelled. We may change the subscription price prospectively; any change takes effect at your next renewal, and continuing your subscription after notice of the new price constitutes acceptance of it.
Cancellation
You may cancel at any time using the subscription-management link provided in your receipt and welcome email, or by emailing support@aegis-algo.com. Cancellation takes effect at the end of the billing period already paid for: your feed access and your licence to use the Signal Handler continue to the end of that period and then terminate. Fees already charged are non-refundable (section 06).
Nature of the Signals
Signals are impersonal and standardized: they are generated by automated strategies, are identical for every subscriber, and are not tailored to — and do not take into account — your financial situation, objectives, experience, account size, or risk tolerance. Signals are not investment, trading, or financial advice, and are not a recommendation directed at you personally (section 08).
Your account, your control
The Signal Handler operates inside your platform and your account. You choose whether and where to run it, you control your position sizing and risk settings, and you may disable or disconnect it at any time. You are solely responsible for all activity in, and all results of, your trading account, including trades placed by the Signal Handler. If you run the Monthly Plan on a funded or prop-firm account, you are responsible for confirming that automated or copied trading is permitted under that firm's rules.
Service availability
The Monthly Plan is provided on a best-efforts, "as available" basis. Signal delivery may be delayed, interrupted, or unavailable due to maintenance, infrastructure or connectivity failure, third-party platform or data issues, or other causes, and we do not warrant continuous or uninterrupted operation. We may add, remove, pause, or modify the strategies that feed the service at any time. You are responsible for monitoring your account — including for open positions if delivery is interrupted — and for maintaining appropriate risk controls.
Signal Handler licence
While your subscription is active, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Signal Handler for your own trading activity. The Signal Handler is "Software" for the purposes of these Terms, and sections 04 (Licence Restrictions) and 12 (Intellectual Property) apply to it. Sharing, redistributing, or republishing the feed or the Signals — including into any other signal service, room, or group — is prohibited. This licence ends when your subscription ends.
08 Not Financial Advice
Aegis is not a registered investment adviser, broker-dealer, commodity trading advisor, futures commission merchant, portfolio manager, or financial planner in any jurisdiction, and does not hold any registration or licence with the Ontario Securities Commission, the Canadian Investment Regulatory Organization, the U.S. Commodity Futures Trading Commission, the National Futures Association, or any equivalent authority.
Nothing on this website, in the Software, in its documentation, or in any communication from us constitutes financial, investment, trading, tax, accounting or legal advice, or a recommendation, solicitation or offer to buy or sell any security, futures contract, or other financial instrument.
You are solely responsible for your own trading decisions. Consult a licensed professional in your jurisdiction before trading.
09 Performance & Backtested Results
Performance figures shown on our website or in our materials are hypothetical, simulated backtest results generated from historical data using the NinjaTrader Strategy Analyzer. They are not the results of real-money trading.
Hypothetical or simulated performance results have inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading and may under- or over-compensate for the impact of factors such as slippage, commissions, liquidity, latency, order fill quality, and market disruption. Simulated programmes are designed with the benefit of hindsight. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown.
Past performance, whether actual or simulated, is not indicative of and does not guarantee future results. Market conditions change, and any strategy may cease to perform.
10 Risk Disclaimer
Trading futures, and trading generally, involves substantial risk of loss and is not suitable for every investor. You can lose some or all of your capital, and losses can exceed your initial deposit where leverage is used. Only trade with money you can afford to lose completely.
Automated trading carries additional risks beyond those of manual trading, including but not limited to: platform or connectivity failure, power or internet loss, latency, data feed errors, broker or exchange outage, incorrect configuration, unattended operation during volatile events, and unexpected behaviour under market conditions not represented in historical data.
You are responsible for monitoring the Software, for your own risk controls and position sizing, and for the configuration of your trading platform and account. We strongly recommend running the Software in simulation mode through multiple full sessions before committing real capital.
11 Third-Party Platforms
The Software is built for NinjaTrader 8. Aegis is not affiliated with, endorsed by, sponsored by, or in any partnership with NinjaTrader, its affiliates, any broker, exchange, data provider, or prop firm. All product and company names are the trademarks of their respective owners.
You are responsible for obtaining and maintaining your own valid platform licence, brokerage account, and market data subscriptions, and for complying with their terms. We are not responsible for the acts, omissions, pricing, downtime, or policy changes of any third party, or for any incompatibility introduced by a third-party update.
12 Intellectual Property
The Software, its trading logic, source code, structure, documentation, branding, website content, and all related intellectual property are and remain the exclusive property of Aegis and its licensors, protected by Canadian and international copyright and other laws. All rights not expressly granted in these Terms are reserved.
"AEGIS", "Aegis Algo", "Vanguard", and associated names and logos are our trademarks. Nothing in these Terms grants you any right to use them.
13 No Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that the Software will be profitable, error-free, uninterrupted, secure, compatible with any particular configuration, or that defects will be corrected.
14 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEGIS AND ITS DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS, LOST OPPORTUNITY, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SOFTWARE.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded.
15 Indemnification
You agree to indemnify, defend and hold harmless Aegis and its directors, officers, employees and agents from and against any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or relating to your use of the Software, your trading activity, your breach of these Terms, or your violation of any law or third-party right.
16 Termination
Your licence terminates automatically and immediately, without notice and without refund, if you breach any provision of these Terms — in particular sections 4 (Licence Restrictions) and 12 (Intellectual Property).
On termination you must cease all use of the Software and destroy every copy in your possession or control. Sections 6, 7, 8, 9, 10, 12, 13, 14, 15 and 19 survive termination.
17 Eligibility
You must be at least 18 years old and of full legal capacity to purchase. By purchasing you represent that you meet this requirement, that you are not located in, or a resident or national of, any jurisdiction subject to comprehensive Canadian sanctions, and that you are not on any Canadian, U.S., UK or EU restricted-party list.
You are responsible for ensuring that your use of the Software is lawful in your jurisdiction.
18 Changes to These Terms
We may amend these Terms at any time by posting a revised version on this page with an updated effective date. Changes apply prospectively to purchases made after the revised effective date. The version in force at the time of your purchase governs that purchase.
19 Governing Law & Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
You agree to the exclusive jurisdiction of the courts of the Province of Ontario, sitting in Ontario, Canada, for any dispute arising out of or relating to these Terms or the Software, and you waive any objection to venue or forum non conveniens, except where mandatory consumer protection law in your place of residence gives you a non-excludable right to bring proceedings elsewhere.
If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions remain in full force.
